ÇALIŞMA USUL VE ESASLARINA İLİŞKİN YÖNERGE
Amaç, Kapsam, Dayanak
Madde 1 - Bu Yönergenin amacı; Dış Ekonomik İlişkiler Kurulu ve İş Konseyleri Çalışma Usul ve Esasları Hakkında Yönetmeliğin 18 inci ve 28 inci maddelerine istinaden, DEİK bünyesinde Özel Amaçlı Konsey Statüsünde kurulmasına karar verilmiş olan “Dünya Türk İş Konseyi (DTİK)”nin kuruluş ve çalışma esaslarını belirlemektir.
Bu Yönergede;
TOBB: Türkiye Odalar ve Borsalar Birliği,
DEİK: Dış Ekonomik İlişkiler Kurulu,
anlamında kullanılmıştır.
Kuruluş ve Üyelik
Madde2 - DTİK’in gerçekleştireceği ilk Genel Kurul Kurucu Genel Kurul’dur.
DTİK’in üyeleri, gerçekleştirilecek DTİK’in Kurucu Genel Kuruluna yurtdışından katılan ve bölge meclis üyesi kabul edilecek kişiler (yabancı ülkelerde yerleşik Türk girişimcileri ve profesyoneller tarafından kurulmuş bulunan dernek, vakıf, federasyon ve benzeri kuruluş üyeleri, münferit girişimciler ve profesyoneller) ile TOBB Yönetim Kurulu Başkan ve üyeleri, TOBB Konsey Başkanları, DEİK Yönetim Kurulu ve DEİK Denetim Kurulu üyeleri, DEİK Kurucu Kuruluş Başkanları ve DEİK İş Konseyi Başkanlarından oluşur.
Kurucu Genel Kurulu takiben DTİK üyeliğine kabul işlemleri bu Yönergenin 7nci maddesi (c) bendi çerçevesinde gerçekleştirilir.
DTİK’in Görevleri:
Madde3 - DTİK’in görevleri şunlardır:
a) Türkiye’nin ekonomik kalkınmasında özel sektörün etkin bir şekilde yer almasını hedefleyerek, bu doğrultuda Türkiye’de ve yurt dışında faaliyet gösteren Türk girişimciler ve profesyonellerin tek bir çatı altında, ülkenin ekonomik ve sosyal gelişimine daha fazla ve kalıcı katkıda bulunmalarını ve yurt dışındaki Türk girişimciler ve profesyonellerin güçlerinin birleştirilmesi yoluyla daha etkin bir lobi gücü elde etmelerini sağlamak,
b) Bu maddenin (a) bendinde belirlenen amaçlar doğrultusunda, Türkiye’de ve yurt dışında faaliyet gösteren Türk girişimcilerinin ve profesyonellerin katılımına açık kurultaylar düzenlemek,
c) Türk girişimciler ve profesyonelleri ile bunlar tarafından oluşturulan kuruluşları ve üyelerini, ülkemizin ekonomik, siyasi, sosyal ve kültürel hedefleri konusunda düzenli olarak bilgilendirerek, bunların bu hedefler doğrultusunda faaliyette bulunmalarını sağlamak amacıyla yayınlar yapmak,
d) “Yabancı Ülkelerde Yerleşik Türk Girişimciler ve Profesyoneller ” olgusuna vurgu yaparak, bu olgunun önemi, büyüklüğü ve etkisi konusunda kamu otoritelerinin ve kamuoyunun bilinçlendirilmesini temin için etkinlikler ve kurultaylar düzenlemek ve periyodik basın toplantıları yapmak,
e) Kendi faaliyet alanındaki gelişmelerin değerlendirileceği ilgili kamu temsilcilerinin içinde olduğu çalışma grubu tesis edilmesine öncülük etmek,
f) Türkiye’nin ikili ticari ve ekonomik ilişkilerinin geliştirilmesi için hedef ülkedeki kuruluşlardan gelen önerileri değerlendirmek,
g) Türkiye’nin AB sürecindeki konumunu güçlendirmek amacıyla ilgili ülke kamu mercileri, medyası ve sivil toplum kuruluşları nezdinde girişimlerde bulunmak,
h) Ekonomik, siyasi, tarihsel, kültürel ve sosyal boyutlarıyla “Türkiye İmajı”nın topyekûn güçlendirilmesi için, ilgili kamu kurumlarıyla da işbirliği yaparak girişim ve faaliyetlerde bulunmak,
i) Dış Ticaret Müsteşarlığı ve İhracatçı Birliklerinin organizasyonunda düzenlenecek Ticaret Heyeti ve Alım Heyeti Programlarına iştirak ederek ve destek vererek, DTİK üyeleri arasında transit ticaretin geliştirilmesini teminen çalışmalar yapmak,
j) Ülke ve/veya sektör bazında konferans, panel, seminer gibi toplantılar düzenlemek ve raporlar hazırlamak.
Organlar
Madde4 -DTİK’in Organları;
Genel Kurul,
Yönetim Kurulu,
Yüksek İstişare Kurulu ve
Bölgesel Komiteler’dir.
DTİK’in organları aşağıdaki şekilde oluşur:
a) DTİK üyeleri DTİK Genel Kurulunu oluşturur,
b) Genel Kurul, yurtdışı üyeleri arasından Avrasya, Avrupa, Orta Doğu-Körfez-Afrika, Asya-Pasifik ve Amerika’dan oluşan beş ana bölgeyi temsilen, beş Bölgesel Komitenin üyelerini seçer.
c) Bölgesel Komiteler iki yıl süreyle görev yapmak üzere; Avrasya, Asya-Pasifik, Afrika-Ortadoğu-Körfez ve Amerika için yedişer üyeden; Avrupa için ise 15 üyeden oluşur. Bölgesel Komite üyeleri arasından en çok oyu alan üye, Bölgesel Komite Başkanı olur. Bölgesel Komite üyeleri ve Bölgesel Komite Başkanlığı seçiminde oyların eşit çıkması halinde, eşit oy alan adaylar arasında tekrar seçim yapılır. Bu seçimde de oyların eşit çıkması durumunda ise kura usulüne başvurulur.
d) DTİK Yönetim Kurulu’nun doğal üyeleri ile TOBB tarafından belirlenen üyeleri dışında kalan yedi üyesi; Avrupa Bölgesel Komitesinden Bölgesel Komite Başkanı dahil ve her biri farklı bir ülkeden olmak üzere, en çok oy alarak seçilmiş olan üç üye ve diğer dört Bölgesel Komite Başkanından oluşur.
e) Yüksek İstişare Kurulu, DEİK Yönetim Kurulu tarafından belirlenen üyelerden oluşur. Yüksek İstişare Kurulu Başkanı DEİK Yönetim Kurulu tarafından seçilir. Yüksek İstişare Kurulu Başkan ve üyelerinin görev süresi iki yıldır.
f) Genel Kurul, Bölgesel Komiteler için aynı sayıda yedek üye seçer, üyelikte herhangi bir nedenle boşalma olması durumunda, en çok oyu alan yedek üyeden başlamak üzere yedek üyeler sırayla, bir sonraki seçime kadar göreve getirilir,
g) TOBB/DEİK Başkanı aynı zamanda DTİK Genel Kurulu Başkanıdır.
Genel Kurulun Toplantı Zamanı ve Görevleri:
Madde 5 - DTİK Genel Kurulu, DEİK Yönetim Kurulu kararı üzerine iki yılda bir kez ve yapılacak kurultaylarla birlikte, Genel Kurul Başkanının çağrısı üzerine ve onun başkanlığında toplanır.
Genel Kurulun görevleri şunlardır:
a) İşbu Yönergede belirtilen amaçların gerçekleştirilmesi doğrultusunda DEİK Yönetim Kurulu’na önerilerde bulunur, bunların ilgili özel sektör kurum ve kuruluşları ve Türkiye Cumhuriyeti Hükümeti ve ilgili yabancı ülke hükümetlerine sunulmasını sağlar,
b) DTİK Bölgesel Komite üyelerini seçer,
c) Kamu otoritelerinin ve kamuoyunun “Yabancı Ülkelerde Yerleşik Türk Girişimcileri” olgusu hususunda bilinçlendirilmesi bağlamında DEİK ve DTİK Yönetim Kurulu’na tavsiyelerde bulunur,
Yönetim Kurulu:
Madde 6 -DTİK’in Yönetim Kurulu iki yıl süre ile görev yapmak üzere, on beş üyeden oluşur;
TOBB/DEİK Başkanı, DEİK İcra Kurulu Başkanı ve DTİK Yüksek İstişare Kurulu Başkanı Yönetim Kurulunun doğal üyeleridir. Yönetim Kurulunda TOBB tarafından tespit edilecek beş temsilci yer alır. Diğer yedi üye 4. maddenin ‘d’ bendindeki yöntemle seçilir.
Yönetim Kurulu yılda en az iki kez toplanır.
TOBB/DEİK Başkanı aynı zamanda DTİK Yönetim Kurulu Başkanıdır.
Yönetim Kurulunun Görevleri:
Madde7 -DTİK Yönetim Kurulunun görevleri şunlardır:
a) DTİK Genel Kurulunun kararlarını uygular,
b) Bölgesel Komitelerin oluşum, yetki ve görevlerini belirler,
c) Kurucu Genel Kurulun yapılmasını takiben yabancı ülkelerde yerleşik Türk girişimcileri tarafından kurulmuş bulunan dernek, vakıf, federasyon ve benzeri kuruluşlar ile münferit girişimciler ve profesyonellerin DTİK’e üyelik taleplerini karara bağlar ve üyeliğe kabul edilen kuruluşların Genel Kurula katılacak temsilci sayısını belirler,
d) Etkinliklerin ve Kurultayların yapısı, içeriği ve organizasyonu konularında genel çerçeveyi belirler,
e) DTİK üyelerinin faaliyet projelerini destekler,
f) Yurt dışındaki Türk girişimci ve profesyonellerin, Türkiye’de uygulanan ihracatı ve yatırımları teşvik sistemine ve devlet yardımları uygulamalarına entegre edilmesini sağlamak üzere öneriler geliştirerek bunları ilgili kamu kurumlarına sunar,
g) DTİK Genel Kurulu ve DTİK Yüksek İstişare Kurulunun önerilerini de değerlendirerek, DEİK’in yurtdışında açacağı temsilciliklerle ilgili görüş verir,
h) Gerçek ve tüzel kişi üyeler için ayrı ayrı olmak üzere DTİK yıllık üyelik aidatının tutarını tespit eder.
Yüksek İstişare Kurulunun Görevleri:
Madde8-DTİK Yüksek İstişare Kurulu’nun görevleri şunlardır:
a) Yurt dışında yerleşik Türk İş Dünyasının tanıtımı ve lobi faaliyetleri kapsamında üst düzeyde girişimlerde bulunulması amacıyla Kamu Kurumlarına ve Hükümete tavsiyelerde bulunur,
b) Yurt içinde ve yurt dışında faaliyet gösteren Türk girişimcileri ve profesyonelleri arasındaki bağları güçlendirerek dayanışmanın artırılmasını, mevcut iş alanlarını geliştirerek yeni iş imkânlarının yaratılmasını ve yurt dışında kurulmuş ve önemli aşamalar kaydetmiş bulunan Türk girişimci kuruluşlarının ve profesyonellerin daha güçlü ve bulundukları ülkede daha etkili konuma gelmelerini sağlamak amacıyla tavsiyeler verir,
c) Etkinlik ve kurultayların yapısı, içeriği ve organizasyonu konusunda DTİK Yönetim Kuruluna önerilerde bulunur, Türkiye’nin AB sürecindeki konumunu güçlendirmek amacıyla, ilgili ülke kamu mercileri, medyası ve sivil toplum kuruluşları nezdinde girişimlerde bulunulması yönünde tavsiyeler verir,
Bölgesel Komitelerin Görevleri:
Madde 9 -Bölgesel Komitelerin görevleri şunlardır.
a) Bölgelerindeki Türk girişimci ve profesyonelleri tarafından oluşturulan kuruluşlar arasında eşgüdüm sağlayarak Genel Kurul ve Yönetim Kurulu’nun almış olduğu kararları bölgesel bazda uygular,
b) DTİK sekretaryası ile eşgüdüm içinde Türk girişimci ve profesyonellerin ülkeler bazında veri tabanını oluşturarak Türk girişimci ve profesyonellerin sürekli iletişimlerini ve bu suretle aralarında somut iş bağlantıları yapmalarını sağlamak üzere İnternet ortamında gerekli girişimlerde bulunur,
c) DTİK tarafından düzenlenecek etkinlik ve Kurultaylara destek ve katılımı arttırıcı faaliyetlerde bulunur,
d) Bölgelerde DTİK üyeliğini arttırmak amacıyla çalışmalar yürütür,
Sekretarya:
Madde10 - DTİK’in sekretarya faaliyetleri, DEİK bünyesindeki koordinatörlük tarafından Dış Ekonomik İlişkiler Kurulu ve İş Konseyleri Çalışma Usul ve Esasları Hakkında Yönetmelik hükümleri ve DEİK Genel Sekreterinin talimatları kapsamında yürütülür.
Yönergede Hüküm Bulunmayan Hususlar:
Madde 11 - Bu Yönergede düzenlenmeyen diğer hususlar, Dış Ekonomik İlişkiler Kurulu ve İş Konseyleri Çalışma Usul ve Esasları Hakkında Yönetmelik hükümleri çerçevesinde yürütülür. Anılan Yönetmelikte yer almayan hususlarda TOBB/DEİK Başkanı karar almaya yetkilidir.
Geçici Madde 1- DTİK’in üyelerinden, 31.12.2009 tarihine kadar üyelik aidatı tahsil edilmez.
Yürürlük:
Madde 12 - Bu Yönerge TOBB Yönetim Kurulunun onayını takiben yürürlüğe girer.
Yürütme:
Madde 13 - Bu Yönerge hükümlerini TOBB/DEİK Başkanı yürütür.
WORLD TURKISH BUSINESS COUNCIL
DIRECTIVE ON WORKING PROCEDURE AND BASIS
Aim, Covering and Base
Article 1: According to Article 18 and 28 of Regulations on working procedure and basis’ of DEIK and Business Councils, to determine the working procedure and basis of “World Turkish Business Council”(DTİK) that is constructed and given a special purpose council statue in the body of DEIK.
In This Directive;
TOBB is the Union of Chambers and Commodity Exchanges of Turkey, and
DEİK is the Foreign Economic Relations Board.
Establishment and Membership
Article 2- First General Assembly that DTİK will organize is the Founding General Assembly.
DTİK members will be determined among the participants from abroad to the first General Assembly and which will be accepted as members of Region Assemblies, associations, foundations, federations and etc which are established by Turkish entrepreneurs and/or professionals abroad, individual entrepreneurs and professionals), TOBB (The Union of Chambers and Commodity Exchanges of Turkey) President and Members of the Executive Board, Presidents of Councils of TOBB, the members of the Board of Directors and Board of Auditors of DEİK and consist of the presidents of Founding institutions of DEİK and Chairmen of DEİK Business Councils.
Following the Founding General Assembly, DTİK Membership Process will be accomplished in parallel to the Article 7 of this directive.
Missions of DTİK:
Article 3- The missions of DTİK are set as following:
a) Gathers all Turkish entrepreneurs and professionals who are active both in Turkey and abroad under one big umbrella on the purpose of increasing the role of private sector on Turkey’s economic development effectively. Provides an instrument for strong lobbying power as getting more and permanent contribution to the economic and social development by combining the power of Turkish entrepreneurs and professionals who are abroad.
b) Organizes open assemblies to all Turkish entrepreneurs and professionals which located both in Turkey and abroad in the way of determined aims which are settled in this paragraph (a).
c) Informs Turkish entrepreneurs, professionals, foundations and foundations’ members on economic, political, social and cultural targets of Turkey on a regular basis and publishes related documents accordingly to make them work in line with these targets.
d) Emphasizes the “Turkish Entrepreneurs and Professionals located in Abroad” fact, makes activities and General Assemblies and media meetings regularly in order to raise awareness of public authorities and public opinion on the importance, size and effect of the point.
e) Pioneers to construct a working group which includes Public representatives that evaluate the developments in the area of Council’s activity.
f) Evaluates advice coming from the foundations of target countries to improve Turkish mutual commercial and economic relations.
g) Attempts to bring a stronger position of Turkey in the EU in terms of public offices, media and non-governmental organizations of the related countries.
h) Does activities and makes attempts in order to reach a totally stronger “Turkish image” in the economic, political, historical, cultural and social spheres by cooperating with the related governmental/public institutions.
i) Performs works or studies with the aim of improving transit trade between DTİK members through the medium of participation to Commerce and Purchasing Committee that will be organized by DTM and Unions of Export Organization.
j) Organizes meetings like conferences, panels, seminars on country or sector basis.
Organs:
Article 4: Organs of DTİK are consisting of:
General Assembly,
Executive Board,
High Advisory Board, and
Region Committees.
The organs of DTİK are formed as below:
a) DTİK members composes DTİK General Assembly,
b) General Assembly selects members, among the participants coming from abroad, as the representatives of the five Region Committees which are formed as, Africa-Middle East-Gulf, America, Asia-Pacific, Eurasia and Europe.
c) Region Committees are composed of 7 members for Eurasia, Asia-Pacific, Africa-Middle East-Gulf and America; and 15 members for Europe. Term of office for these members is 2 years. Among the members of the Region Committees, President of the Region Committee is selected by the means of getting maximum vote. The voting process is repeated if the votes are equal at Region Committee members and Presidents of Region Committees elections. If the votes are equal again, the selection is finalized by casting lots.
d) Except the members as of right of the DTİK Executive Board and members appointed by TOBB, 7 members left are formed by 3 members selected by the means of getting maximum vote and presidents of other 4 Region Committees. Including the Chairman of Region Committee, region representatives who will select for Europe should not be originated from the same country.
e) High Advisory Board is consist of members who determined by Board of Directors of DEİK. Chairman of High Advisory Council is selected by Board of Directors of DEİK. Term of office for the Chairman and members of the High Advisory Council of DTİK is 2 years.
f) General Assembly selects equal number of substitute members for each Region Committee. In case of any member loss due to a variety of reasons, substitute members starting from the one who get more vote are appointed.
g) The President of TOBB/DEİK is also the president of DTİK General Assembly.
Meeting schedule and missions of General Assembly
Article 5- DTİK General Assembly including the assemblies once in 2 year, is gathered following the DEİK Board of Directors decision; the call of and under the supervision of the President of General Assembly.
The missions of General Assembly are the following:
a) Gives advice to DEİK Board of Directors in accordance with realizing aims that are set throughout the directives and enable them to be presented to the related association and entrepreneurs of private sector, Government of Turkish Republic and concerned foreign governments.
b) Selects the members of DTİK Region Committees.
c) Gives advice to DTİK Executive Board and DEİK Board of Directors regarding awareness raising of the public authorities and public opinion concerning the “Turkish entrepreneurs settled in abroad” fact.
Executive Board:
Article 6-ExecutiveBoard of DTİK is consist of 15 members to be in duty for 2 years;
The president of TOBB/DEİK, president of DEİK Executive Board and president of High Advisory Council of DTİK are the members as of right of the Executive Board. Five members who are appointed by TOBB are also present in the Executive Board. Other 7 members are selected according to the paragraph (d) of Article 4.
Executive Board convenes at least twice a year.
The president of TOBB/DEİK is also the president of DTİK Executive Board.
The missions of DTİK Executive Board:
Article 7-The missions of DTİK Executive Board are the following:
a) Executes decisions of General Assembly of DTIK
b) Sets composition, authority and missions of the Region Committees
c) Settles the demand of membership to DTIK of associations, foundations, federations and such kind of entrepreneurs and private entrepreneurs and professionals. Determines the number of representatives in General Assembly for each foundation whose membership is accepted.
d) Sets general framework regarding the structure, content and organization of the activities and assemblies.
e) Supports the activity projects of DTIK members
f) Presents proposals to the related public institutions with the aim of integrating Turkish entrepreneurs and professionals settled in abroad to the export and investment encouraging system and to the government aid programs.
g) Gives opinion on agencies that are to be opened in abroad by DEİK through evaluating the proposals of the General Assembly of DTIK and DTIK High Advisory Council.
h) It determines annual membership fees that differ for real person and corporation.
The missions of the High Advisory Board:
Article 8:The missions of DTİK High Advisory Board are the following:
a) Gives advice to public institutions and the government to make high level attempts regarding the promotion of Turkish Business World settled in abroad and lobbying activities.
b) Gives advice to develop links in accordance with increasing the cooperation between Turkish entrepreneurs and professionals who works in Turkey and abroad, creates new job opportunities through the medium of improving potential job areas and gives advice in order to provide a stronger and effective position for Turkish entrepreneurs and professionals who are settled in abroad and made progress.
c) Gives advice to DTİK Executive Board regarding the structure, content and organization of the activities and assemblies, gives advice for making attempts through public authorities, media and non- governmental organizations of the related countries with the purpose of strengthening Turkey’s position in the EU membership process.
The missions of the Region Committees:
Article 9- The missions of the Region Committees are the following:
a) Executes the decisions of General Board and Administration Board at region basis while creating coordination between enterprises that are founded by Turkish entrepreneurs and professionals settled in those regions.
b) Makes necessary interference in the virtual area in cooperation with the General Secretariat of DTİK with the purpose of providing constant communication and by the means of that to create concrete business connections between Turkish entrepreneurs and professionals.
c) Makes activities to increase the support and participation to events and assemblies that will be organized by DTİK.
d) Carries on works to increase membership of DTİK in the regions.
Secretariat:
Article 10- The Secretarial works of DTİK are executed by the coordinator in the body of DEIK, according to the “Regulations on DEİK and Business Council Working Procedures and Basis” and in accordance with the instructions of the General Secretariat of DEIK.
Issues those are not included in this directive:
Article 11:Other issues those are not included in this directive are executed in the framework of “Regulations on DEİK and Business Council Working Procedures and Basis” . The Chairman of Turkish Union of Chambers and Commodity Exchanges and DEIK has the authority to take decision in case of issues not included in any of these regulations.
Provisional Article 1- Membership fee is not collected from DTİK members until 31.12.2009
Enforcement:
Article 12- This directive will come into force following the confirmation of Board of Directors of TOBB.
Execution:
The execution of the instructions in this directive is carried on by the president of TOBB and DEİK.
